Learn The New Hong Kong TCSP Licensing Regime:

Guide to Know Your Customer (KYC) & Anti Money Laundering (AML) 

Did you know that your business could get into trouble if you don’t have a TCSP license before 1st March 2018?

We’re sorry, we didn’t really mean to scare you but K-Town Community wants to ask for your undivided attention to the new licensing requirements and the regime for Trust or Company Service Providers (“TCSPs”) under the Anti-Money Laundering and Counter-Terrorist Financing ordinance (Cap. 615) (“AMLO”) and Companies Ordinance (Cap. 622). This might raise few questions in your mind; Who qualify as TCSPs? and why do I need to know?
 
TCSPs  is any person whose business provides any of the following services:
– forming corporates or other legal persons
– acting, or arranging for a person to act as a partner of a partnership.
– providing a registered office, business address, correspondence or administrative address or other related services for a body corporate or partnership.
 acting, or arranging for another person to act, as a nominee shareholder for a person other than a company whose securities are listed on a regulated market.

What & Why you should know about the new TCSP licensing regime?

The implementation of the new TCSP licensing regime aims to enhance transparency of corporate beneficial ownership by requiring companies incorporated in Hong Kong to obtain and maintain up-to-date beneficial ownership information by keeping a Significant Controllers Register. 
 
So if you wish to continue providing trust or company services as business in Hong Kong, you are required to apply for a license from the Companies Registry and satisfy a “fit-and-proper” test before the commencement of operation of the licensing regime (1st March, 2018).

實施新的TCSP制度旨在通過要求在香港註冊的公司獲得並保持最新的受益權信息,並通過設立重要控制人登記冊來提高公司受益權的透明度。

因此,如果您希望繼續在香港提供信託或公司服務作為業務,您必須向公司註冊處申請牌照,並在許可制度正式實行之前通過“適當人選”的測試(2018年3月1日)。
